Instratium Master Terms of Service
Effective Date: December 31, 2025
1. Acceptance of Terms
This Terms of Service ("Agreement") is a legally binding contract between Instratium and you ("Client"). By accessing our services - Inlumit, QuantumSaaS, QuarkMeter, Cloudvisor.AI, and Quantum Shards - you acknowledge that you have read, understood, and agree to be bound by these terms.
2. Product-as-a-Service (PaaS) Delivery Model
All Instratium solutions are offered strictly as a Product-as-a-Service (PaaS) or Software-as-a-Service (SaaS). This is a subscription-based access grant; no software is sold, and no ownership of underlying code is transferred. Access is contingent upon a valid, paid subscription.
3. The Service Portfolio
- Inlumit: Cloud landscape discovery and modernization.
- QuantumSaaS: Multi-tenant SaaS delivery framework and "shards."
- QuarkMeter: Granular consumption-based metering and commercialization.
- Cloudvisor.AI: AI-powered cloud companion for optimization and cost management across AWS, Azure, and GCP.
- Quantum Shards (AI-FY): Transformation engine infusing Generative AI, NLP, ML, and Agentic AI into existing applications at the core architecture level.
4. Absolute Intellectual Property (IP) Ownership
All right, title, and interest in and to the Services - including but not limited to Cloudvisor.AI’s NLP algorithms, Quantum Shards’ logic, metadata, and proprietary methodologies—remain the exclusive property of Instratium, Corent Technology, and their respective owners. No derivative works or "white-labeling" is permitted without a separate written agreement.
5. All-Encompassing Anti-Reverse Engineering & Protection
The Client is strictly prohibited from, and shall not permit any third party to:
- Decompile, disassemble, reverse engineer, or attempt to derive the source code or proprietary "shards" of any portion of the platform.
- Use any automated system (bots, scrapers) to extract AI training models, NLP embeddings, or resource-mapping datasets.
- Bypass any technological measures (e.g., QuarkMeter) designed to control or monitor access.
- Access the Services to build a competitive product or perform competitive "benchmarking."
- This clause applies to all current and future modules and is intended to be as legally all-encompassing as possible.
6. Acceptable Use Policy (AUP)
You and your end-tenants may not:
- Use AI capabilities to generate illegal, defamatory, or deceptive content (e.g., deepfakes).
- Deploy autonomous agents for malicious network activities or spamming.
- Infringe on third-party IP rights via "AI-fied" applications.
- Abuse system resources in a way that degrades performance for other users.
7. Professional Responsibility & AI Disclaimer
- AI Advisory: Recommendations from Cloudvisor.AI are generated via algorithms; final deployment decisions and cloud costs rest with the Client.
- AI Output: The Client is responsible for the content and actions generated by AI "fused" into their applications via Quantum Shards.
- Data Integrity: The Client must maintain verified backups of all data prior to any migration or "AI-fication" process..
8. Billing, Metering, and Payment
All usage-based fees (including AI tokens and agentic actions) are tracked and billed exclusively based on QuarkMeter data. Failure to pay result in immediate suspension of access.
9. Indemnification
The Client shall indemnify and hold harmless Instratium and its licensors (including Corent Technology) from any claims arising out of: (i) the Client's application code/data; (ii) a violation of the AUP; or (iii) any claim that the Client's "AI-fied" application infringes on the rights of others.
10. Limitation of Liability
To the maximum extent permitted by law:
- Instratium’s total liability is limited to the fees paid by the Client in the six (6) months prior to the claim.
- Instratium is not liable for indirect, incidental, or consequential damages resulting from cloud provider outages or AI inaccuracies.
11. Confidentiality & Force Majeure
- Confidentiality: Both parties agree to protect proprietary information with the same degree of care as their own.
- Force Majeure: Instratium is not responsible for failures caused by events beyond its control (e.g., AWS/Azure outages, cyber-warfare).
12. Miscellaneous
- Governing Law: Laws of the State of California.
- Severability: If any part of this Agreement is found unenforceable, the remainder stays in effect.
- Termination: Instratium may terminate access immediately for breaches of Section 4 (IP) or Section 5 (Reverse Engineering).
Our Story
The Cloud industry is a place of myriad possibilities for endeavors spanning across multiple subjects of study and enterprises. It is an ever-growing and formidable industry that has become integral to billions of people within the few decades it has existed for. However, despite these possibilities, the Cloud is incomprehensibly fragmented, as its many capabilities are separated across countless businesses, and their knowledge domains; this, in turn, leads to these capabilities having very little ease of access. This fragmentation makes it very challenging when it comes to distilling any group of capabilities into actionable tools of high value, from a commercial standpoint.
This is where our story comes in. We, when founding Instratium, set out to create tools, for Cloud professionals and novices, that can coalesce these many fragmented Cloud capabilities into resources that are not only practically, but also commercially viable for anyone who chooses to embark on their Cloud journey.
